Terms of Service

Welcome to ICON. These Terms of Service ("Terms") govern your access to and use of the ICON customer app, ICON Dispatch photographer app, website (iconapp.co), public ICON profile pages, application and onboarding flows, support channels, and related services (collectively, the "Service"). By creating an account, applying to become an ICON, booking or accepting a shoot, uploading content, or otherwise using ICON, you agree to these Terms.

1. Overview of the Service

ICON is a marketplace platform that connects customers seeking photography services ("Customers") with independent photographers ("Photographers" or "ICONs"). ICON facilitates discovery, public ICON profile pages, on-demand and scheduled bookings, messages related to bookings, payments, payouts, ratings, support, trust and safety reviews, and photo delivery, but does not itself provide photography services.

The Service may include customer booking features, ICON Dispatch tools, Crew and Community features, saved photos, referrals, coupons, waitlists, editorial or featured content, public profile links, support tickets, operational notifications, and administrative review tools. Some features may be available only in certain markets, to certain account types, or during beta, launch, or review periods.

Photographers on the ICON platform are independent contractors, not employees of ICON. ICON may set platform rules, eligibility requirements, safety requirements, payment rules, content standards, and service quality expectations, but ICON does not control the manner and means by which Photographers perform photography services.

2. Eligibility

You must be at least 18 years old to use ICON. By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

ICON may limit availability by geography, market, account status, platform capacity, waitlist status, regulatory requirements, risk review, or operational readiness. Being able to create an account, join a waitlist, apply, or access a page does not guarantee that you can book, accept jobs, receive payouts, appear publicly, or use every feature.

3. Account Registration

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the security of your account credentials
  • You must not share your account or allow others to access it
  • You must promptly update your information if it changes
  • You are responsible for the accuracy of your name, profile details, phone number, email address, market, availability, portfolio links, bio, payment setup, and any public profile URL or username you choose
  • Usernames, vanity URLs, profile handles, badges, and public page placement are provided at ICON's discretion and may be changed, reserved, reassigned, suspended, or removed if they violate these Terms, infringe rights, impersonate someone, mislead users, or create operational risk
  • We reserve the right to suspend or terminate accounts that violate these Terms

3a. Profile Photos

Both Customers and Photographers must upload a profile photo that clearly shows their face, so the other party can recognize them when they meet up for a shoot. This is a safety requirement.

  • Your profile photo must be a clear, unobstructed photo of your face
  • It must show only you — no group photos
  • It must not be a logo, illustration, icon, or image of an object
  • It must not obscure your face with sunglasses, masks, heavy filters, or extreme angles

We may review profile photos at any time. If your photo does not meet these requirements, we may remove it, hide your public profile, restrict booking or dispatch eligibility, notify you by push notification or email, and ask you to upload a replacement. While a profile photo is flagged for replacement or pending review, you may be unable to book an ICON Photographer, appear publicly, receive job requests, accept jobs, or send / accept Crew invites. Uploading a replacement makes you eligible for review and reinstatement, but access is not guaranteed until ICON confirms the replacement meets platform requirements.

3b. ICON Applications, Onboarding, and Public Profiles

Applicants who want to become ICON Photographers may be asked to submit identity details, contact information, location and market availability, portfolio links, sample work, style or category preferences, a biography, a profile photo, a public username or vanity URL, Stripe Connect information, and other onboarding information. ICON may approve, decline, waitlist, suspend, or request more information from applicants at its discretion.

  • Application submission does not guarantee approval, a specific tier, a Founding ICON badge, public placement, job volume, or earnings
  • Approved ICONs must complete required onboarding steps before they can be publicly listed, receive job requests, or receive payouts
  • ICON may assign, remove, or update default cover images, public profile fields, market labels, badges, availability, or profile visibility to keep the platform accurate and safe
  • ICON may hide, suspend, or restrict a public ICON profile if required profile information is missing, inaccurate, policy-violating, under review, or no longer meets platform requirements
  • ICON may use application and onboarding materials to evaluate applicants, prevent abuse, improve onboarding, operate support, and maintain administrative activity records

4. Bookings

For Customers

  • You may book photographers on-demand (if available nearby), schedule a future shoot, request a specific ICON, or use available marketplace booking flows
  • Booking details (date, time, location, session type, number of images) form part of the agreement between you and the Photographer
  • Once a Photographer accepts your booking, you are committed to the session unless cancelled in accordance with our cancellation policy
  • You agree to be present at the agreed location and time for your session
  • You agree to provide accurate location, timing, contact, and shoot details, and to follow in-app safety, arrival, cancellation, and communication instructions

For Photographers

  • You may accept or decline booking requests at your discretion
  • Once you accept a booking, you are committed to providing the agreed services
  • You must deliver photos within a reasonable time after the session concludes
  • You are responsible for the quality of your work and maintaining professional conduct
  • You must maintain accurate availability, market, dispatch status, location, public profile, portfolio, payout, and contact information
  • You may be required to use the ICON Dispatch app or other ICON tools to receive job alerts, accept or decline requests, navigate to sessions, update session status, upload galleries, view earnings, and manage your profile
  • ICON may limit dispatch eligibility based on account status, market, proximity, profile completeness, avatar review, portfolio status, Stripe Connect status, prior cancellations, unresolved reports, safety concerns, or other platform rules

Booking Messages and Location Signals

Customers and Photographers may communicate through booking-related message threads, status updates, arrival flows, notifications, and location-aware features. These tools are provided to coordinate a session and improve safety. Do not use booking messages or location information to harass, stalk, solicit off-platform payment, or contact another user outside the purpose of the booking.

5. Payments and Pricing

Credit System

ICON uses a credit-based system. Customers may purchase credits through:

  • Subscription plans — Monthly recurring credit allocations
  • One-time purchases — Individual credit packages

Credits are used to pay for photography sessions. The number of credits required varies based on the Photographer's tier, session duration, and other factors.

Direct Card Payment

Customers may also pay directly by card. When paying by card:

  • A hold (authorization) is placed on your card at the time of booking
  • The card is charged upon successful completion of the session
  • If the session is cancelled in accordance with our policy, the hold is released

Photographer Compensation

Photographers receive their earnings through Stripe Connect. ICON retains a platform fee (service charge) from each booking. The current fee structure is made available to Photographers in the app and may be updated as described in "Pricing Modifications" below. Payouts may be delayed, held, adjusted, reversed, or blocked when required by Stripe, law, chargeback rules, fraud prevention, tax compliance, incomplete onboarding, unresolved support or session reports, missing photo delivery, account review, or suspected Terms violations.

Pricing Modifications

ICON reserves the right, in its sole discretion and to the maximum extent permitted by applicable law, to modify any pricing component of the Service at any time and without prior notice, including but not limited to:

  • Platform commission rates (the percentage retained by ICON from each booking)
  • Credit values (the dollar value of a credit when spent on a booking)
  • Credit costs (the number of credits required for a session, including by tier, time slot, and session length)
  • Subscription plan prices, included credit allotments, and per-plan benefits
  • One-time credit pack pricing and any markup applied to non-subscriber purchases
  • Cancellation fees, no-show penalties, refund eligibility windows, and any other booking-related fee

Where required by law, ICON will provide reasonable advance notice of changes that materially increase the price of an active subscription. Outside of those required notice periods, all pricing changes are effective immediately upon being reflected in the app or otherwise communicated. Continued use of the Service after a pricing change constitutes acceptance of the new pricing. Founding Member, promotional, or grandfathered rates (where offered) are governed by their own specific terms and may be discontinued, modified, or revoked as described in those terms or, in the absence of specific terms, at ICON's sole discretion.

Refunds

Refund eligibility depends on the circumstances:

  • If a Photographer fails to show up or cancels, you will receive a full refund (credits or card)
  • If a completed session receives no delivered photos within the required delivery window, ICON may issue a refund and restrict or review the Photographer's account
  • If you cancel within the allowed cancellation window, you may receive a partial or full refund
  • Disputes regarding session quality are handled on a case-by-case basis through our support team

Promotions, Coupons, Referrals, and Waitlists

ICON may offer coupons, discounts, referral credits, waitlist invitations, Founding Member offers, or other promotions. Promotions may be limited by market, time, user, booking type, account status, fraud review, or other conditions shown in the app or communicated by ICON. ICON may modify, revoke, reject, or claw back promotional benefits if they are used fraudulently, mistakenly issued, abused, duplicated, transferred, sold, or used contrary to their stated terms.

6. Subscriptions

  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • You may cancel your subscription at any time through the app; cancellation takes effect at the end of the current billing period
  • Cancelled subscriptions may not be reinstated at a previously offered promotional, Founding Member, or grandfathered rate; reactivation will use then-current pricing
  • Unused subscription credits roll over while your plan is active, capped at two (2) times your plan's monthly credit allotment; ICON may modify or remove this rollover policy at any time as described in Section 5 ("Pricing Modifications")
  • Subscription pricing, included credits, and plan benefits may change as described in Section 5 ("Pricing Modifications")
  • ICON may add, modify, rename, retire, or replace subscription plans at any time

7. Photos and Intellectual Property

Photo Delivery

Photos from your session are delivered through the ICON app. Photographers upload images to the platform, submit a gallery, and Customers can access delivered images through their booking gallery. ICON may set minimum upload, delivery, review, and gallery-submission requirements.

Photo Rights

  • Customers receive a personal, non-commercial license to use photos from their sessions for personal purposes
  • Photographers retain copyright ownership of their images unless otherwise agreed
  • By uploading photos to ICON, Photographers grant ICON a license to store, display, and deliver the images to the Customer
  • ICON does not claim ownership of any user-uploaded content

Promotional Use by ICON

By using the Service, both Customers and Photographers grant ICON a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, display, distribute, and create derivative works from photos taken or uploaded through the platform for ICON's promotional, marketing, advertising, editorial, and operational purposes. This includes, but is not limited to:

  • Featuring photos in app screens, marketing campaigns, social media, websites, press materials, and investor communications
  • Using photos to demonstrate platform features, photographer work, or sample sessions
  • Cropping, resizing, watermarking, or otherwise adapting photos for promotional contexts

ICON will use reasonable efforts to credit the Photographer when feasible. Customers and Photographers may request the removal of specific images from ICON's promotional materials by contacting support@iconapp.co; ICON will honor reasonable requests on a going-forward basis but is not required to recall materials already published. This license survives termination of your account with respect to materials already produced.

Portfolio Usage

Photographers may display session photos in their ICON portfolio. Customers may request that specific images not be used publicly, and Photographers should honor such requests.

Feed, Crew, Saved Photos, and Featured Content

The Service may allow Customers to save photos to boards, like or share approved photos, approve photos for feed use, view Crew activity, see community or editorial content, and browse featured work. ICON may curate, rank, approve, reject, remove, hide, or feature content and may exclude content based on privacy settings, blocks, reports, moderation status, market availability, quality, safety, or operational criteria. Saving, liking, approving, or featuring content does not transfer ownership of the underlying photos.

8. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Harass, threaten, or abuse other users
  • Submit false or misleading information
  • Manipulate reviews or ratings
  • Circumvent the platform to arrange bookings or payments outside of ICON
  • Use booking details, contact information, public profiles, Crew, messages, support tools, or location features for any purpose unrelated to legitimate use of ICON
  • Upload content that is illegal, offensive, or infringes on others' rights
  • Attempt to gain unauthorized access to accounts, systems, or data
  • Use automated tools to scrape or access the Service

8a. Community Guidelines and Objectionable Content

ICON has zero tolerance for objectionable content or abusive users. The following are prohibited on every user-generated surface in the app or website — including the public Community feed, Crew posts, booking messages, public ICON pages, usernames, profile photos, cover images, profile bios, portfolios, reviews, support submissions, and application materials:

  • Sexual or nude content involving any person, including yourself
  • Sexual content involving minors, in any form, will be reported to the National Center for Missing & Exploited Children (NCMEC) and law enforcement
  • Violence, gore, or threats of violence directed at any person or group
  • Hate speech, including content that attacks or demeans people based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, age, disability, or veteran status
  • Harassment, bullying, or stalking of any user, photographer, or third party
  • Self-harm content, including content that promotes or glorifies suicide, eating disorders, or self-injury
  • Illegal activity, including the depiction, promotion, or solicitation of illegal acts
  • Spam, scams, or impersonation of another person or business

How we enforce this

  • Report mechanism: Every user-facing piece of content in the app has a Report option. Tap it, choose a reason, and our moderation team is alerted instantly.
  • Block mechanism: You can block any user from any profile, post, or message. Blocking removes their content from your feed immediately, prevents them from messaging you, and notifies our team.
  • 24-hour review: Our moderation team reviews every report within 24 hours. Confirmed violations result in content removal and, depending on severity, account suspension or permanent termination.
  • Automated thresholds: Content that receives multiple independent reports is hidden from circulation pending review.
  • No appeals for severe violations: Accounts confirmed to have shared sexual content involving minors, made credible threats of violence, or engaged in repeated harassment will be terminated permanently and may be reported to law enforcement. There is no appeal process for these categories.

By using ICON, you agree that your access may be terminated without prior notice for violations of these Community Guidelines. To report a violation, use the in-app Report button or email trust@iconapp.co.

8b. Communications, Notifications, and Support Records

ICON may contact you through in-app notices, push notifications, email, SMS or phone where permitted, support replies, and administrative messages about your account, bookings, payments, applications, onboarding, profile requirements, safety, Trust and Safety reviews, marketing where permitted, and changes to the Service. You are responsible for keeping your contact information current.

When you contact support, submit feedback, receive an email, are approved, suspended, reinstated, flagged for review, refunded, reported, or otherwise interact with ICON, we may create support tickets, help desk records, notification logs, audit logs, CRM-style activity timeline entries, and internal notes. These records help us operate the Service, investigate issues, comply with law, prevent fraud, and provide support. Administrative logs and internal notes are not public profile content.

9. Reviews and Ratings

  • Customers may leave reviews and ratings after completed sessions
  • Photographers may be able to view rating summaries, performance signals, delivery signals, or review-related analytics in the app or admin-managed surfaces
  • Reviews must be honest, fair, and based on your actual experience
  • ICON reserves the right to moderate, flag, or remove reviews that violate our guidelines
  • Reviews are subject to approval before being publicly displayed

10. Cancellations

  • Cancellation policies and associated fees are displayed at the time of booking
  • Repeated cancellations may result in account restrictions
  • No-shows by either party may result in penalties as described in the cancellation policy

11. Account Suspension and Termination

ICON may suspend or terminate your account if:

  • You violate these Terms or any applicable law
  • You engage in fraudulent or abusive behavior
  • Your account poses a risk to other users or the platform
  • You fail to complete required onboarding, profile, market, avatar, portfolio, identity, payout, tax, or safety requirements
  • Your public profile, application, support interactions, messages, reviews, content, bookings, payments, or platform activity require additional review
  • Required by law or legal process

You may delete your account at any time through the app's Account Settings. Upon deletion, your access to the Service will be revoked. Some data may be retained as described in our Privacy Policy.

12. Disclaimers

  • ICON is a marketplace platform. We do not guarantee the quality, safety, or legality of any photography services provided by Photographers.
  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
  • We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
  • ICON is not responsible for the actions, omissions, or conduct of any user.
  • ICON makes no guarantee that any Customer will receive bookings, that any Photographer will receive job requests, that any specific level of earnings will be achieved, or that any tier, ranking, badge, or featured placement will be granted, retained, or yield any particular outcome.
  • Public profile placement, search or discovery order, badges, featured carousel inclusion, community visibility, and marketplace ranking may change at any time and are not guaranteed.
  • Estimates of earnings, response times, ratings, savings, or comparisons to non-platform pricing shown anywhere in the Service are illustrative only and are not guaranteed.
  • Beta, experimental, or preview features may be modified or removed at any time and are provided without any warranty.

Photographer Tax Responsibility

Photographers are independent contractors and are solely responsible for reporting and paying all applicable federal, state, and local taxes on income earned through the Service. ICON does not withhold taxes from Photographer earnings. Where required, ICON will issue tax forms (such as IRS Form 1099) consistent with applicable law.

Modifications to the Service

ICON reserves the right, at any time and without prior notice, to add, modify, suspend, or discontinue any feature, functionality, content, market availability, or any other aspect of the Service, including imposing limits on usage. ICON shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

13. Limitation of Liability

To the maximum extent permitted by law, ICON and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, revenue, or profits.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to ICON in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless ICON and its affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to participate in class action lawsuits or class-wide arbitration.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through the app or by email. Your continued use of ICON after the effective date of revised Terms constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles.

18. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any policies or guidelines incorporated by reference, constitute the entire agreement between you and ICON regarding the Service and supersede any prior agreements.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remainder of these Terms remains in full force and effect.

No Waiver

ICON's failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of ICON.

Assignment

You may not assign or transfer these Terms or any of your rights or obligations without our prior written consent. ICON may assign these Terms, in whole or in part, at any time without notice, including in connection with a merger, acquisition, financing, or sale of assets.

Force Majeure

ICON is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, governmental action, labor disputes, internet or telecommunications outages, or third-party service provider failures.

Independent Contractors

Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchisor-franchisee relationship between ICON and any user. Photographers are independent contractors and not employees of ICON.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

Survival

Provisions that by their nature should survive termination — including payment obligations, photo licenses (including the promotional license in Section 7), disclaimers, limitation of liability, indemnification, dispute resolution, and these General Provisions — will survive termination of your account or these Terms.
